Repurchases of Shares. The Fund will offer to repurchase shares on a quarterly basis, at a price equal to the Fund's net asset value per share as of the end of such period; provided that the Fund will limit the number of shares repurchased in any calendar quarter to no more than 5% of the weighted average number of shares outstanding during the twelve-month period immediately prior to the repurchase date.

The Board may amend, suspend or terminate the repurchase program at any time, in its discretion, upon notice to shareholders. Shareholders should not expect to be able to sell their shares promptly.

Find

It finds the fund's own filing

The N-2, S-11 or 10-K, straight from the SEC. Exit terms and fees are rarely summarized up front, so it goes looking where they actually live.

Read

Down to the clause that matters

Repurchase limits, suspension rights and the risks specific to this fund, not the boilerplate. An afternoon per prospectus becomes a few minutes for the first pass.

Extract

Every term, with a page number

Liquidity terms and each fee layer, pulled out and cited. The concern level it gives is a read on the terms, never a buy or sell signal.

Log

Logged with every page it cited

The read and each page number it relied on, so anyone can check the work against the filing itself.

Check facts

Then every term is checked

Every fee, limit and date is checked against the fund's own filing, and anything that doesn't match is fixed. Then a person reviews the read before it's sent.

Repeated misses become lessons for the next read.

How working together goes

  1. We scope it

A fund, a short list, or one real question. Agreed before anything starts.

  2. Done for you

We run it on the fund's own public filings. You get the finished report, nothing to install.

  3. You get a written report

With space left for your own judgment.

  4. NDA first, always

Signed before we see anything specific.

  5. You decide what's next

    No obligation to continue.

What this is, and what it isn't

This is

  • Faster diligence on complex filings
  • A structured read of a fund's own disclosed terms
  • Every term cited to a page in the fund's own filing

This isn't

  • Investment advice, or a recommendation on any fund
  • Asset management. Your allocation decisions stay yours
  • A one-time pass. It keeps getting better at where it looks
